Terms and Conditions for GramAI

Introduction
These Terms and Conditions ("Terms") govern your use of the GramAI mobile application (the "Service") operated by GramAI ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
App Overview
GramAI is an AI-powered content curation and chat assistant. The app uses artificial intelligence — including third-party AI services (Google Gemini and OpenAI) — to personalise your experience, curate content recommendations, and provide conversational assistance based on your stated preferences.
License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal and business purposes.
License Restrictions
You agree not to, and you will not permit others to:
- License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Service
- Copy or use the Service for any purpose other than as permitted under this license
- Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Service
- Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of the Service
- Use the Service to violate any applicable laws or regulations
3. Eligibility
- You must be at least 13 years old to use GramAI
- If you are between 13-18, you must have parental consent
- You must have the legal capacity to enter into these Terms
- Your use must comply with all applicable laws and regulations
4. User Accounts
4.1 Account Creation
- You must create an account to use GramAI
- You can sign up using Google Sign-In or Apple Sign-In
- You are responsible for maintaining account security
- You must provide accurate and current information
4.2 Account Responsibilities
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access
- You are responsible for all activities under your account
- Do not share your account with others
User Content
Content Ownership
You retain all rights to any audio recordings you create using the Service. We do not claim ownership of your recordings.
Data Processing and Storage
To provide and improve the Service (including transcription accuracy, AI analysis, and related features), audio recordings and derived artifacts may be transmitted to and stored on our servers for processing, quality assurance, and model training, as described in our Privacy Policy.
Responsible Use
You are solely responsible for:
- Any content you create, upload, or store using the Service
- Ensuring you have the necessary rights to record individuals or conversations
- Complying with all applicable laws regarding audio recording consent in your jurisdiction
- Securing your device and account. Note that recordings may be transmitted to and stored on our servers to provide and improve the Service, consistent with our Privacy Policy
- The accuracy and appropriateness of any AI-generated summaries or insights
Legal Compliance - Recording Consent
CRITICAL LEGAL REQUIREMENT: You must comply with all applicable laws regarding recording consent in your jurisdiction. Many jurisdictions have laws about recording conversations, which may require consent from one or all participants. We do not provide legal advice regarding recording laws.
- One-Party Consent: Some jurisdictions only require one party (you) to consent to recording
- Two-Party/All-Party Consent: Other jurisdictions require ALL participants to consent
- Your Responsibility: You are solely responsible for understanding and complying with your local laws
- Legal Consequences: Violating recording laws may result in criminal or civil liability
Acceptable Use Policy
Permitted Uses
- Record your own meetings and conversations (where legally permitted)
- Record meetings where you have proper consent from all participants
- Use transcriptions and AI analysis for personal or business purposes
- Share meetings with authorized individuals via secure links
- Use the Service for legitimate business and educational purposes
Prohibited Uses
You may NOT use GramAI to:
- Record conversations without proper legal consent
- Violate privacy rights or applicable recording laws
- Record confidential, privileged, or protected information without authorization
- Upload malicious content, viruses, or harmful code
- Attempt to reverse engineer, hack, or compromise the service
- Use the service for illegal activities or to violate others' rights
- Infringe on intellectual property rights
- Spam, harass, threaten, or abuse other users
- Impersonate others or provide false information
- Use the Service to compete with or replicate our business
7. Content and Data
7.1 Your Content
- You retain ownership of your recordings and data
- You grant us license to process, store, and analyze your content to provide services
- You are responsible for the legality and appropriateness of your content
- You must have rights to all content you upload

- We may remove content that violates these Terms
- We may suspend or terminate accounts for violations

8. Payment and Subscriptions

9A. Third-Party AI Services and Data Sharing
GramAI uses third-party AI services to power its chat and content personalisation features. By using the chat feature, you acknowledge and agree to the following:
9A.1 What Data Is Shared
- Your chat messages and stated content preferences shared during conversations are sent to third-party AI services for processing
- If you discuss a specific article or piece of content, a summary or excerpt may also be shared for context
9A.2 What Data Is NOT Shared
- Your name, phone number, email address, or any other personal identifiers are never shared with third-party AI services
- Your device information, location, IP address, or data from other apps is not shared with AI providers
9A.3 Who Receives the Data
9A.4 Consent and Withdrawal
- The app will request your explicit consent before sending any data to third-party AI services
- You may withdraw consent at any time by deleting your account or contacting support@gram.ai
- Without consent, the AI chat feature will be unavailable, but all other features remain accessible
9A.5 Data Protection by Third Parties
- All third-party AI service providers are contractually and/or by policy obligated to provide the same or equivalent level of data protection as described in our Privacy Policy
- Data is transmitted over encrypted connections (HTTPS/TLS) and processed through our backend servers, which strip personal identifiers before forwarding
10. Service Availability
10.1 Uptime
- We strive for high availability but cannot guarantee 100% uptime
- Services may be temporarily unavailable for maintenance
- We will provide reasonable notice for planned maintenance
10.2 Modifications
- We may modify, suspend, or discontinue features at any time
- We will provide reasonable notice for significant changes
- Continued use after changes constitutes acceptance
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- GramAI is provided "AS IS" without warranties
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability is limited to the amount you paid for the service
- We are not responsible for third-party services or content
- You use the service at your own risk
12. Indemnification
You agree to indemnify and hold harmless GramAI from any claims, damages, or expenses arising from:
- Your use of the service
- Your violation of these Terms
- Your violation of applicable laws
- Infringement of third-party rights
- Your content or recordings
13. Termination
13.1 By You
- You may terminate your account at any time
- Deletion can be done through app settings
- Your data will be deleted according to our Privacy Policy
13.2 By Us
- We may terminate accounts for Terms violations
- We may suspend service for investigation
- We will provide notice when reasonably possible
- Termination does not affect accrued rights and obligations
14. Governing Law

- All trademarks, service marks, and logos are proprietary to GramAI
- AI models, algorithms, and analysis technologies are proprietary
- You may not use our intellectual property without written permission
Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination:
- Your right to use the Service will immediately cease
- You may download your recordings before account deletion
- We may delete your data according to our Privacy Policy
- Outstanding obligations will survive termination
If you wish to terminate your account, you may do so through the app settings or by contacting support.
Limitation of Liability
In no event shall GramAI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use or alteration of your transmissions or content
- Loss of recordings due to device malfunction, app crashes, or other technical issues
- Inaccuracies in AI-generated transcriptions, summaries, or analysis
- Any legal consequences from recording without proper consent
Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
- We do not guarantee 100% accuracy of transcriptions or AI analysis
- We do not guarantee uninterrupted or error-free service
- We do not provide legal advice regarding recording laws
- AI-generated content should be reviewed for accuracy
Governing Law
These Terms shall be governed and construed in accordance with applicable laws, without regard to conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice prior to any new terms taking effect through:
- In-app notifications
- Email notifications (if available)
- Updated "Last updated" date in these Terms
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
